Force Majeure
Neither party shall be liable for conditions that can be described as force majeure, including but not limited to war, riot, insurrection, general strike, fire, natural disasters, currency restrictions, import or export bans, interruption of the normal communications, interruption or failure of energy supply, prolonged illness of key staff and the occurrence of force majeure by subcontractors.

If the occurrence of force majeure, the affected party shall as soon as possible inform the other party that a force majeure situation has occurred. The other party may then require the timetables to be re-negotiated.

Confidentiality
In connection with the performance of any contract, both parties will have access to confidential information and other confidential material with each other. Both parties warrant that they themselves and their employees and subcontractors in every respect will treat the information as confidential.

Both parties declare their agreement to at any time, at the request of the other party to return any documents or other material that may have been supplied.

Secrecy obligation is superseded by obligations that lie upon the parties in accordance with applicable and mandatory laws.

Rights
Unless otherwise agreed by the parties, the client acquires all rights including copyright in material prepared in connection with the execution of a contractual task.

Laegaard Holding smba, however, has the right to use it in connection with the performance of work, accumulated know-how, programming knowledge, etc. in other contexts.

Chatham House Rule
When a meeting, or part thereof, is held under the Chatham House Rule, participants are free to use the information received, but neither the identity nor the affiliation of the speaker(s), nor that of any other participant, may be revealed.

Payment Terms
All amounts are excl. VAT. All payment terms are: Net cash.

Privacy Policy (GDPR)
Laegaard Holding smba operates in compliance with GDPR.

Personal data will be processed with candidates applications, CVs and other relevant material such as certificates, diplomas, references and other job relevant information. In addition, personal data from third parties like LinkedIn, other social medias or a former employer/colleagues will also be used. The purpose of processing such personal data is solely for recruitment purposes, including in finding a position that matches individuals’ specific profiles and future wishes. The basis for processing personal data is to evaluate competences, experiences and wishes in order to finding the most suitable candidates for a certain position on the basis of a 360c perspective.

Selected candidates will be presented to clients of Laegaard Holding smba by sending their CV to the client, however, always with prior agreement from the candidate. The receiving client will act as independent data responsible.

Laegaard Holding smba will keep candidates personal data (CV) as long as necessary to fulfil the purposes described above and we will comply with GDPR.

Laegaard Holding smba does not obtain person-sensitive information like passport, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic and biometric data, social security number, health data, sexual orientation, crime records or other person-sensitive information.

All candidates are recommended to up-date Laegaard Holding smba with CVs that includes job relevant information only.

Jurisdiction
Any disputes under this agreement shall be settled under Danish law at a court in Copenhagen, Denmark.
